Konditionen / Retainer Terms:

Bagg, Roske & Associates, LLP (“we”, “us”, or the "Firm") will be pleased to provide legal services to you, on the basis of the arrangement set forth herein.

We will use our best efforts, to provide the services to you in a professional and timely manner.

Except as otherwise set forth herein, you agree to pay us for our professional services at our usual and customary rates as in effect from time to time. At your request, we will keep you regularly apprised of the amount of fees and expenses incurred in this matter. In connection with the matters set forth in the first paragraph of this letter, we may ask you for a retainer, payable prior to commencement of our work.

In order to keep our legal fees at the competitive level where they presently are, we attempt to minimize the Firm’s administrative burden and invoice for all services rendered in electronic format. While we normally send invoices monthly, we will extend the billing terms at our discretion if there was relatively little activity over a longer period.

All invoices must be checked immediately and objections or questions be raised within one week upon receipt. Thereafter, the invoice is deemed accepted and is to be paid in full. within two weeks.

Expenses (such as travel expenses, telecommunications, mail, courier services, copying, third party services), and disbursements incurred by us on your behalf are not included in our fees for legal services. Expenses will be billed separately. We will endeavor to advise you in advance and receive your approval prior to incurring any significant expense. However, you agree to permit us to exercise our professional judgment in determining whether or not to incur expenses for any resources we believe are reasonably necessary for the undertaking of our legal services.

Please note that any retainer is not necessarily identical with the amount that may be owed us for professional services rendered or expenses incurred. Such amount may be higher than the amount of such retainer. Should our engagement terminate for any reason, any balance remaining on any retainer will be applied against the final invoice sent to you and any balance will be returned to you.

To enable us to provide you with efficient and professional services concordant with applicable legal and ethical standards, you agree to be reasonably available to confer with us, to provide us with all documents and information and disclose all relevant facts and circumstances. We will endeavor to keep you adequately apprised of developments with respect to the matters for which we have been retained, including whether any of our present or future clients have disputes or other dealings with you or parties related to you.

You have the right to terminate our engagement at any time by giving us written notice of termination. We also have the right, subject to our responsibilities under applicable ethical rules, to terminate our engagement by giving you written notice if you fail to pay our bills when due or if we determine that continuing to represent you would conflict with applicable rules governing the conduct of lawyers.

Subject to applicable law and professional rules governing our conduct, we agree that any dispute arising out of or in connection with the fees payable under this agreement shall be submitted to the fee dispute committee operated jointly by the Association of the Bar of the City of New York, the New York County Lawyers' Association and the Bronx County Bar Association. Any and all other matters, including without limitation the enforcement of undisputed fees, may be brought by either party in any court of competent jurisdiction.

This agreement is governed by and shall be construed in accordance with the laws of the State of New York applicable without regard to its conflict of law provisions.

If the foregoing is acceptable to you, please sign these retainer terms and return a copy of this letter to the Firm, or – alternatively – send us your consent by Email.
